Photography Services Agreement
This Photography Services Agreement (the “Agreement”) is entered into between James Bridle Photo (the “Photographer”) and the Client on the date the Client provides written booking confirmation.
This Agreement is drafted in accordance with the laws of England and Wales, including the Consumer Rights Act 2015.
1. Services
1.1 The Photographer agrees to provide professional photography services as described in the booking confirmation, quotation, or written correspondence agreed between the Photographer and the Client.
1.2 The Photographer will perform the services with reasonable care and skill, in accordance with generally accepted professional standards.
1.3 The Client acknowledges that the Photographer retains creative discretion regarding style, composition, and editing of images.
2. Booking Confirmation and Payment
2.1 Booking Confirmation
A booking is confirmed when the Client provides written acceptance of the quotation, booking details, or services by email or other written correspondence. For the purposes of this Agreement, written confirmation includes email communication.
No deposit or advance payment is required to form the contract.
The Photographer will reserve the agreed date and time upon receipt of written confirmation. If the Client does not provide written confirmation, the Photographer is under no obligation to attend, hold the date, or provide the services.
2.2 Contract Formation
Upon written confirmation, a legally binding contract is formed between the Photographer and the Client, and the cancellation terms set out in Section 3 shall apply.
2.3 Payment Terms
Unless otherwise agreed in writing, the full balance is payable no later than 30 days after completion of the services.
2.4 Expenses
All fees are exclusive of additional expenses unless explicitly stated in the booking agreement.
2.5 Late Payment
If payment is not received within 14 days of the due date, the Photographer reserves the right to charge statutory interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, where applicable.
2.6 Delivery Conditional on Payment
No images will be delivered or licensed for use until full payment has been received.
3. Cancellation and Rescheduling
3.0 Applicability of Cancellation Terms
The cancellation and rescheduling provisions in this section apply once a booking has been confirmed in accordance with Clause 2.1, regardless of whether any payment has yet been made.
3.1 Cancellation by the Client
If the Client cancels the services more than 72 hours before the scheduled start time, no payment is due.
If the Client cancels within 72 hours of the scheduled start time, the Client is liable for 45% of the total agreed fee.
3.2 Rescheduling by the Client
Rescheduling requests must be made in writing. The Photographer will make reasonable efforts to accommodate a new date but does not guarantee availability.
3.3 Cancellation or Rescheduling by the Photographer
The Photographer may cancel or reschedule the services due to circumstances beyond their reasonable control, including illness, injury, equipment failure, or severe weather. In such cases, the Photographer will offer either a suitable alternative date or a full refund of any amounts paid.
3.4 Transport Delays Beyond the Photographer’s Control
The Photographer shall not be liable for any delay in arrival or reduction in coverage time caused by circumstances beyond their reasonable control, including public transport delays or cancellations, industrial action, road closures, or severe or unforeseen weather conditions.
Such delays shall not constitute a breach of this Agreement, and the Client shall not be entitled to any refund, partial refund, or fee reduction, provided the Photographer has taken reasonable steps to arrive on time and continues to deliver the services to the best of their ability.
4. Image Delivery and Usage
4.1 Edited images will be delivered within the timeframe stated in the booking agreement. Delivery times are estimates and not guarantees.
4.2 The Photographer retains full copyright in all images created.
4.3 The Client is granted a non-exclusive, non-transferable licence to use the images for the purposes agreed at the time of booking.
4.4 Any commercial use outside the original agreed scope requires prior written consent and may be subject to additional licensing fees.
4.5 The Photographer reserves the right to use the images for portfolio, marketing, and promotional purposes unless the Client opts out in writing prior to the session.
5. Creative Control and Image Editing
5.1 The Client confirms they have reviewed the Photographer’s portfolio and accept the Photographer’s artistic style, aesthetic approach, and editing techniques.
5.2 The Photographer retains full artistic and creative control over the capture, selection, retouching, colour grading, cropping, and final presentation of all images delivered.
5.3 Editing and post-production form part of the professional service and will be carried out according to the Photographer’s professional judgement and established style.
5.4 The Photographer is not required to replicate a specific editing style, colour treatment, reference image, or visual trend not previously agreed in writing.
5.5 The selection of images delivered to the Client shall be at the Photographer’s discretion. Unedited images, RAW files, contact sheets, or rejected images will not be supplied unless expressly agreed in writing and subject to additional fees and licensing terms.
5.6 Requests for re-editing, additional retouching, or stylistic alterations are not included in the standard service. The Photographer may agree to such requests at their discretion and may charge additional fees.
5.7 Dissatisfaction with artistic style, editing approach, or aesthetic interpretation shall not constitute a defect in the services or grounds for refund, provided the Photographer has performed the services with reasonable care and skill.
6. Data Protection
6.1 The Photographer will process personal data in accordance with the UK General Data Protection Regulation and the Data Protection Act 2018.
6.2 Personal data will only be used for purposes related to the provision of services and will not be shared with third parties except where required by law or necessary to fulfil the services.
7. Limitation of Liability
7.1 Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be excluded.
7.2 Subject to clause 7.1, the Photographer’s total liability is limited to the total fees paid by the Client for the services.
7.3 The Photographer shall not be liable for any indirect or consequential loss, including loss of profit, reputation, or opportunity.
7.4 The Photographer shall not be responsible for missed shots, reduced coverage, or compromised results due to factors beyond their reasonable control, including venue restrictions, lighting conditions, weather, or the actions of third parties.
8. Complaints and Resolution
8.1 Any concerns or complaints must be raised in writing within seven days of delivery of the images.
8.2 The Photographer will make reasonable efforts to resolve any issues in good faith.
9. Governing Law and Jurisdiction
9.1 This Agreement is governed by the laws of England and Wales.
9.2 The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from this Agreement.
By confirming a booking in writing, the Client confirms that they have read, understood, and agreed to this Agreement.
